Terms & Conditions

In these Terms, unless the context requires otherwise: (a) "Platform" means the website, web application, APIs, and all related services operated by Xenon Capital Advisors LLP accessible at xenoncapitaladvisors.com and any successor domains. (b) "Services" means all modules, features, and functionalities offered through the Platform, including the no-login Guest Deck Score, Gap Analysis, Deck Design, VC Outreach, VC Tracker, Consultation, and Term Sheet Analysis. (c) "User", "you", or "your" refers to any individual or entity that accesses or uses the Platform. (d) "We", "us", "our", or "XCA" refers to Xenon Capital Advisors LLP, a limited liability partnership registered in India. (e) "Content" means all text, data, documents, pitch decks, presentations, analyses, and other materials uploaded, generated, or processed through the Platform. (f) "AI-Generated Content" means any output produced by artificial intelligence models integrated into the Platform, including analyses, deck designs, outreach letters, and term sheet responses.

By accessing the Platform, accepting the Guest Deck Score upload notice, creating an account, completing the onboarding process, or using any Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform. These Terms constitute a legally binding agreement between you and Xenon Capital Advisors LLP. Your continued use of the Platform after any modification to these Terms constitutes acceptance of such modifications.

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use the Platform. By using the Platform, you represent and warrant that you meet these requirements and that all information you provide during onboarding and use is accurate, complete, and current. If you are using the Platform on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.

(a) The Guest Deck Score may be used without an account. Access to the remaining modules requires sign-in using a valid Google account. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. (b) You must provide accurate and complete information during onboarding, including your legal name, email address, and company details. GST number (where applicable) and billing address are collected before your first payment for invoice generation. (c) You agree to notify us immediately of any unauthorised access to or use of your account. Xenon Capital Advisors LLP shall not be liable for any loss or damage arising from your failure to protect your account. (d) We reserve the right to suspend or terminate any account that we reasonably believe has been compromised, is being used fraudulently, or is in violation of these Terms.

(a) The Platform provides AI-powered advisory tools designed to assist startup founders with fundraising activities. The Services include, but are not limited to: - Guest Deck Score: a no-login, score-only assessment using a 14-point investor-readiness framework - Module I: Gap Analysis of pitch decks - Module II: AI-powered Deck Design and redesign - Module III: VC Outreach campaigns with personalised emails - Module IV: VC Tracker and founder-triggered follow-up emails - Module V: Paid consultation with expert advisors - Module VI: Term Sheet Analysis with negotiation responses (b) The Services are tools to assist your fundraising process. They do not constitute investment advice, legal advice, financial advice, or any professional advisory service regulated under applicable Indian law. (c) We do not guarantee any outcome from using the Services, including but not limited to: securing meetings with VCs, receiving funding, obtaining favourable term sheet terms, or achieving any specific business result. (d) Xenon Capital Advisors LLP is not a SEBI-registered investment advisor, merchant banker, or portfolio manager. Our Services should not be construed as services regulated by the Securities and Exchange Board of India. (e) The Guest Deck Score is informational, does not predict fundraising success, and does not itself send, publish, or share your deck. A guest score does not automatically carry into an account. If you choose Module III, the exact deck selected for outreach is evaluated within your account before VC access is enabled. (f) Guest Deck Score access is subject to a 15 MB file limit, the supported file types displayed on the upload page, and reasonable fair-use rate limits. We may change or suspend guest access to protect the Platform or manage capacity.

(a) The Platform uses artificial intelligence to generate analyses, deck content, outreach letters, and term sheet responses. AI-Generated Content is produced algorithmically and may contain inaccuracies, omissions, or errors. (b) You acknowledge and agree that: - AI-Generated Content is provided on an "as-is" basis for informational and assistive purposes only - You are solely responsible for reviewing, verifying, and approving all AI-Generated Content before use - AI-Generated Content does not constitute professional advice of any kind - We make no representations or warranties regarding the accuracy, completeness, reliability, or suitability of AI-Generated Content - Any reliance on AI-Generated Content is entirely at your own risk (c) You must independently verify all factual claims, financial projections, market data, legal interpretations, and strategic recommendations produced by the Platform before acting upon them.

(a) Certain Services require payment. All prices are displayed on the Platform in Indian Rupees (INR) and are inclusive of applicable introductory discounts where stated. All amounts are subject to applicable GST. (b) Payments are processed through Razorpay, a third-party payment gateway. By making a payment, you also agree to Razorpay's terms of service. (c) All payments are final and non-refundable unless: - You contact support@xenoncapitaladvisors.com within 24 hours of purchase - The Service was not delivered due to a technical failure on our part - Refund requests are evaluated on a case-by-case basis at our sole discretion (d) We reserve the right to modify pricing at any time. Price changes will not affect Services already purchased. (e) GST-compliant invoices will be generated and emailed for all completed payments. The invoicing details will use the billing information you provide before payment. You are responsible for ensuring the accuracy of your GST number and billing address.

(a) You retain ownership of all Content you upload to the Platform, including pitch decks, term sheets, financial models, and other documents. (b) By uploading Content, you confirm that you own it or are authorised to provide it and grant Xenon Capital Advisors LLP a limited, non-exclusive, non-transferable licence to process and analyse it solely to provide the Service you requested. Guest Deck Score uploads are not stored as account projects. The temporary file is deleted immediately after the scoring attempt completes or fails; abandoned uploads are ordinarily purged within one hour and in all cases no later than 24 hours. Content may be transmitted to our contracted AI provider for the requested processing as described in the Privacy Policy. We will not use Guest Deck Score Content to train Xenon models or share it with investors. (c) All intellectual property in the Platform, including its design, code, branding, and proprietary methodologies, belongs to Xenon Capital Advisors LLP. Nothing in these Terms transfers any intellectual property rights to you beyond the limited right to use the Platform as intended. (d) AI-Generated Content produced for you through the Platform (such as redesigned decks, outreach letters, and analysis reports) may be used by you without restriction for your legitimate business purposes.

(a) Outreach emails are sent from outreach@xenoncapitaladvisors.com on your behalf. You will be CC'd on all emails sent through the Platform. (b) You represent and warrant that: - All information you provide for outreach campaigns is accurate and not misleading - You authorise us to send emails to VCs on your behalf using the content you have reviewed and approved - You will not use the outreach Services for spamming, harassment, or any purpose that violates applicable law (c) We do not guarantee email delivery, open rates, response rates, or any particular outcome from outreach campaigns. Email deliverability depends on factors outside our control. (d) We validate VC email addresses using third-party verification services but do not guarantee the accuracy or continued validity of any email address in our database.

You agree not to: (a) Use the Platform for any unlawful purpose or in violation of any applicable law or regulation (b) Upload Content that is false, misleading, defamatory, obscene, or infringes any third-party rights (c) Attempt to gain unauthorised access to the Platform, other user accounts, or our systems (d) Reverse-engineer, decompile, or disassemble any part of the Platform (e) Use automated scripts, bots, or other means to access or scrape the Platform (f) Resell, sublicence, or commercially exploit the Platform or any Service without our prior written consent (g) Circumvent or attempt to circumvent any security measures, payment mechanisms, or usage limits (h) Impersonate any person or entity, or misrepresent your affiliation with any person or entity (i) Use the Guest Deck Score through automated, bulk, scripted, or repeated submissions intended to evade fair-use limits (j) Upload malware, corrupted files, confidential material you are not authorised to disclose, or any document intended to probe or compromise the Platform

(a) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XENON CAPITAL ADVISORS LLP, ITS PARTNERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR SERVICES. (b) Our total aggregate liability for any and all claims arising from or related to the Platform or Services shall not exceed the total amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to such liability. (c) Without limiting the foregoing, we shall not be liable for: - Any decisions you make based on AI-Generated Content - The outcome of any VC outreach campaign, fundraising effort, or negotiation - Any third-party actions or inactions, including those of VCs, investors, or payment processors - Loss or corruption of your data due to circumstances beyond our reasonable control - Service interruptions caused by factors outside our control, including internet connectivity, third-party service failures, or force majeure events

You agree to indemnify, defend, and hold harmless Xenon Capital Advisors LLP, its partners, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) Your use of the Platform or Services (b) Your violation of these Terms (c) Your violation of any applicable law or third-party rights (d) Any Content you upload or submit through the Platform (e) Any misrepresentation made by you (f) Any outreach emails sent on your behalf through the Platform

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We expressly disclaim all warranties, including but not limited to: (a) Implied warranties of merchantability, fitness for a particular purpose, and non-infringement (b) That the Platform will be uninterrupted, error-free, secure, or free of viruses or harmful components (c) That any results obtained through the Platform will be accurate, reliable, or complete (d) That the Platform will meet your specific requirements or expectations

(a) You may stop using the Platform and request account deletion at any time by contacting support@xenoncapitaladvisors.com. (b) We may suspend or terminate your access to the Platform at any time, with or without cause, including if we reasonably believe you have violated these Terms. (c) Upon termination: - Your right to use the Platform ceases immediately - We may delete your account data after a reasonable retention period - Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination (d) We are not liable to you for any termination of your access to the Platform.

We reserve the right to modify these Terms at any time. Material changes will be communicated via the email address associated with your account or through a notice on the Platform. Your continued use of the Platform after such notification constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically. The "Effective Date" at the top of this page indicates when these Terms were last updated.

(a) These Terms shall be governed by and construed in accordance with the laws of India. (b) Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India. (c) Before initiating any formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of not less than thirty (30) days.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Xenon Capital Advisors LLP regarding the use of the Platform and Services, and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
